Welcome to UpLaddr ("the Platform", "we", "us"). By accessing or using UpLaddr, you agree to these Terms of Service. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 16 years old to use UpLaddr. By creating an account, you represent that you meet this age requirement.

2. What UpLaddr Is

UpLaddr is a platform that helps sports players find competitive ladders, organise pickup games, and discover sports venues. We provide the technology to connect players — we do not organise, supervise, or participate in any sporting activities.

3. Public Data & Rankings

When you join a ladder, the following information is publicly visible to anyone viewing that ladder, including users who are not logged in:

Your display name
Your ELO rating and ranking position
Your win/loss record and match history (opponents, scores, dates)
Your profile picture and personal flair (if set)
Activity indicators (matches played this week, responsiveness, win streaks)

Your display name and match results may also appear on other players' profiles as part of their head-to-head records, rating history, and recent matches. This is a core feature of the platform and necessary for competitive transparency.

By joining a ladder, you acknowledge and consent to this public display of your competitive data. If you do not wish your data to be publicly visible, do not join a ladder.

Your email address is never publicly displayed.

4. Pickup Games

When you create or join a pickup game:

The game location (map pin), time, sport, and participant names are visible to other users on the map
You are responsible for choosing safe, appropriate, and publicly accessible locations
UpLaddr does not verify locations, vet participants, or supervise games
You meet and play with other users at your own risk
Do not post private addresses or locations where you do not have permission to play

5. Your Safety

You participate in sporting activities at your own risk. UpLaddr is not responsible for:

Physical injuries, accidents, or health issues that occur during matches, pickup games, or any sporting activities arranged through the Platform
The behaviour, conduct, or actions of other users
The condition, safety, or suitability of any venue, court, or location
Equipment, weather conditions, or any other external factors

You are solely responsible for assessing risks, ensuring your physical fitness, carrying appropriate insurance, and taking necessary precautions before participating in any activity.

6. Venue Bookings

When you book a court or facility through UpLaddr:

The booking is a contract between you and the venue operator, not with UpLaddr
UpLaddr acts solely as an intermediary to facilitate the booking
We are not responsible for venue availability, cancellations, refunds, court conditions, or disputes between you and the venue
Venue operators set their own pricing, policies, and terms

7. Service Availability

The Platform is provided "as is" and "as available" without any guarantees of uptime, reliability, or uninterrupted access. We may experience downtime for maintenance, updates, or unforeseen technical issues. We do not guarantee that:

The Platform will be available at all times or any specific time
The Platform will be free from errors, bugs, or interruptions
Data, rankings, or match results will be preserved indefinitely

We are not liable for any losses, missed bookings, or inconvenience caused by service interruptions.

8. User Conduct

You agree not to:

Use the Platform for any unlawful purpose
Harass, threaten, or abuse other users
Submit false match results, manipulate rankings, or engage in unsporting behaviour
Create fake accounts or impersonate others
Attempt to access other users' accounts or data
Overload, disrupt, or interfere with the Platform's operation
Upload content that is illegal, offensive, or infringes on others' rights

We reserve the right to suspend or terminate accounts that violate these terms.

9. Demo Content

The Platform includes demonstration ladders with generated sample players, matches, and rankings. Demo content is clearly labelled and is provided to showcase platform features. Demo player names are fictional and do not represent real individuals. Demo data is periodically reset.

10. User-Generated Content

Your user-generated content (match results, comments, messages, uploaded images) remains yours. By posting content on the Platform, you grant UpLaddr a worldwide, non-exclusive, royalty-free licence to display, reproduce, and distribute that content on the Platform for the purpose of operating the service. This licence:

Continues for as long as the content remains on the Platform
Includes the right to display your content in anonymised form after account deletion (e.g., match records attributed to "Deleted User")
Does not grant us the right to sell your content or use it for purposes unrelated to the Platform

For uploaded images (avatars, banners), you represent that you have the right to upload the image and that it does not infringe on any third party's rights. We reserve the right to remove content that violates these terms.

11. Limitation of Liability

To the maximum extent permitted by law, UpLaddr and its operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your use of or inability to use the Platform
Any sporting activity, match, or game arranged through the Platform
Any booking, payment, or transaction facilitated through the Platform
Service interruptions, downtime, or data loss
Unauthorised access to your account or data
The conduct of other users, whether online or offline

Our total liability for any claim arising from your use of the Platform is limited to the amount you have paid us in the 12 months preceding the claim, or $50, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless UpLaddr and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your participation in sporting activities, or your violation of these Terms.

13. Subscriptions and Payments

Paid subscriptions (Player+, League Plan) are billed monthly or annually. You may cancel at any time. Refunds are handled per our refund policy. Free features may change at any time.

14. Dispute Resolution

For users in the United States: Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by a mutually agreed arbitration service, rather than in court. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. This does not prevent you from filing complaints with regulatory agencies.

For users in the European Union: This arbitration clause does not affect your statutory rights under EU consumer protection law, including your right to bring claims in the courts of your country of residence.

15. Intellectual Property

All content, design, code, and branding on UpLaddr is owned by us or our licensors. You may not copy, modify, or distribute our proprietary content without permission.

16. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance. We will notify users of material changes via email or in-app notice.

17. Governing Law

These Terms are governed by the laws of England and Wales. For users in the European Union, mandatory consumer protections of your country of residence continue to apply where they provide greater protection than English law.
